Agreement to Terms

Welcome to Cardio AI Global Institute ("Institute," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our website, services, programs, and educational materials (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

Important: These Terms contain provisions that limit our liability and require you to resolve disputes with us through binding arbitration on an individual basis, not as part of a class action.

1. Eligibility

You must meet the following requirements to use our Services:

  • You must have the legal capacity to enter into binding contracts
  • You must not be barred from using our Services under applicable law
  • For CAILP and professional programs, you must hold appropriate healthcare credentials where required
  • You must provide accurate and complete registration information

We reserve the right to verify your eligibility at any time. If we determine you do not meet these requirements, we may suspend or terminate your access to our Services.

2. User Accounts

2.1 Account Creation

To access certain Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities under your account

2.2 Account Termination

We may suspend or terminate your account if you:

  • Violate these Terms or any applicable policies
  • Provide false or misleading information
  • Engage in fraudulent or illegal activities
  • Fail to pay required fees
  • Cause harm to other users or the Institute

3. Use of Services

3.1 Permitted Use

You may use our Services for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Accessing educational materials and programs
  • Participating in research studies with proper consent
  • Engaging with our community and network
  • Applying for CAILP and other programs

3.2 Prohibited Conduct

You agree not to:

  • Use our Services for any illegal purpose or in violation of any laws
  • Impersonate any person or entity or falsely state your affiliation
  • Interfere with or disrupt our Services or servers
  • Attempt to gain unauthorized access to any portion of our Services
  • Use automated systems (bots, scrapers) without written permission
  • Copy, reproduce, or distribute our content without authorization
  • Harass, abuse, or harm other users
  • Upload viruses, malware, or other malicious code
  • Collect personal information about other users
  • Use our Services for commercial purposes without authorization

4. CAILP Program Terms

4.1 Application and Admission

Participation in the Cardiovascular AI Leadership Program (CAILP) is subject to:

  • Submission of a complete and accurate application
  • Meeting all eligibility requirements
  • Acceptance by our admissions committee
  • Payment of all required fees
  • Execution of a program agreement

4.2 Program Fees

All fees are stated in U.S. dollars and must be paid in full before program commencement unless alternative payment arrangements have been approved in writing. Fees are non-refundable except as specifically provided in the program agreement.

4.3 Academic Standards

Participants must maintain satisfactory progress and comply with all program requirements. Failure to meet academic standards may result in dismissal from the program without refund.

4.4 Certification

Successful completion of CAILP results in certification. Certificates may be revoked if the Institute determines that:

  • The certification was obtained through fraud or misrepresentation
  • The holder has engaged in professional misconduct
  • The holder has violated these Terms

5. Research Participation

5.1 Informed Consent

Participation in any research study requires:

  • Review and understanding of study information
  • Voluntary consent without coercion
  • Execution of informed consent documents
  • Compliance with study protocols
  • Right to withdraw at any time

5.2 Data Use

By participating in research, you agree that de-identified data may be used for:

  • Scientific research and publication
  • Development of AI algorithms and models
  • Collaboration with research partners
  • Educational purposes

5.3 IRB Oversight

All research is conducted under Institutional Review Board (IRB) oversight and complies with applicable research ethics regulations, including the Common Rule and Declaration of Helsinki.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Services and all content, features, and functionality are owned by Cardio AI Global Institute and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

This includes but is not limited to:

  • AI algorithms, models, and software
  • Educational materials and curricula
  • Trademarks, logos, and branding
  • Research methodologies and findings
  • Website design and functionality

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes, subject to these Terms.

6.3 User Content

You retain ownership of content you submit to our Services. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with operating and improving our Services.

6.4 Feedback

9. Indemnification

You agree to defend, indemnify, and hold harmless Cardio AI Global Institute and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

10. Dispute Resolution

10.1 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally by sending written notice to [email protected].

10.2 Arbitration Agreement

Any dispute arising from these Terms or your use of our Services shall be resolved through binding arbitration rather than in court, except you may assert claims in small claims court if they qualify.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in Dublin, Ohio, or another mutually agreed location.

10.3 Class Action Waiver

You and Cardio AI Global Institute agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

10.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

11. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

To the extent arbitration does not apply, you agree to submit to the personal jurisdiction of the state and federal courts located in the State of Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending email notification to registered users
  • Providing prominent notice on our Services

Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms.

13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any program-specific agreements, constitute the entire agreement between you and Cardio AI Global Institute regarding your use of our Services.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions shall remain in full force and effect.

13.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, labor disputes, or government actions.

13.6 Survival

Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.
